1. General conditions of use

1.1 You declare that You are at least 18 years of age and are of firm competence to contract at the time of registration (as described below under Clause 3) on Katalyst.

1.2 You declare that You have never been previously suspended or removed from Katalyst.

1.3 You declare that You shall abide by all the terms and conditions of these Terms of Use, the Privacy Policy and any other policies that the Company might evolve from time to time (collectively referred to as “Policies”).

1.4 You acknowledge that these Terms of Use are only representative, and the Company reserves the right to add, remove, change and/ or modify, at any time, the Terms of Use or part thereof, with or without notice to the User.

1.5 The Company reserves the right to seek any and all remedies available under law and in equity on account of violation of, or non-compliance with, these Terms of Use specifically, and Policies generally, by the User.

1.6 Failure by the User to comply with the Terms of Use shall result in immediate suspension and/ or termination of the User Account (defined below in Clause 3.1) in question, and suspension and/ or termination of the Services (defined below in Clause 2).

1.7 You undertake to abide by the provisions of any and all laws/ rules/ regulations (collectively referred to as “Laws”) applicable for the time being in force. For any action arising from the violation of the Laws, pursuant to Your usage or access of Katalyst, You undertake to submit to the process outlined in Clause 12 of these Terms of Use.

1.8 The selection and arrangement of all content, including but not limited to designs on products, text, graphics, pictures, video etc., are the proprietary property of the Company, or its licensors with all rights reserved. Any use of Katalyst or the content of Katalyst other than as specifically authorised herein, without prior written permission from the Company, is strictly prohibited and shall result in the immediate termination of the User Account.

1.9 It is Our endeavour to ensure that Katalyst is accessible to You from everywhere on a 24X7 basis. However, We may, from time to time and without prior notice of downtime, suspend access to Katalyst or to some parts thereof for maintenance or other reasons. We may also, at Our sole discretion, either temporarily or permanently disable access to Katalyst for specific users. You agree and understand that You have no expectation of, or right to, permanent and uninterrupted access to Katalyst.

1.10 We do not guarantee that other users of Katalyst will comply with these Terms of Use. You hereby assume all risk of any harm or injury which may result to You on account of such non-compliance by third party users. We shall not be liable for any such harm or injury resulting from third party use.

2. Registration

2.1 In order to use Katalyst, You may be required to register by creating an account on Katalyst (“User Account”). As part of the registration process, You agree to provide current, complete and accurate information (“Registration Data”). You undertake to keep Registration Data updated, complete and accurate for as long as You maintain the User Account.

2.2 You agree to comply with the Terms of Use and accept that Your Registration Data, and any other personal data that You may provide in the course of using Katalyst (collectively referred to as “Information”), may be processed in accordance with the Privacy Policy of the Company.

2.3 The User Account is created on Katalyst using a username, mobile phone number, email ID and any other data/ information as might be required. Upon registration of User Account, and at any later date, You may add additional profile information. The User Account is personal to the User and may not be transferred, assigned, gifted, lent or otherwise permitted to be used by another person. The User is responsible for maintaining, and must take all necessary steps to ensure, the confidentiality of their User Account. If the User has any reason to believe that the confidentiality and security of their User Account might have been compromised, or that the User Account is being, or is likely being, used without authorisation, the User must contact Us immediately.

2.4 If the Company has reasonable grounds to suspect that any information provided by the User is untrue, inaccurate, outdated or incomplete, then the Company reserves the right to refuse access, terminate the User Account, remove content, or take any other action as may be prudent, at any time without notice to the User.

3. Indemnification

3.1 By accepting these Terms of Use and using and/ or accessing Katalyst, You agree to indemnify, save, and hold Us, the Company, its affiliates, contractors, employees, officers, directors, agents and its third party suppliers, licensors, and partners harmless from any and all claims, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to Your use or misuse of Katalyst, any violation by You of these Terms of Use, or any breach of the representations, warranties, and covenants made by You herein. We reserve the right, at Your expense, to assume the exclusive defence and control of any matter for which You are required to indemnify Us, the Company, including rights to settle, and You agree to cooperate with Our defence and settlement of these claims. We will use reasonable efforts to notify You of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This paragraph shall survive termination of Your acceptance of these Terms of Use.

4. Force Majeure

4.1 The Parties agree that neither Party shall be liable to the other for any failure to perform any obligation under this Terms of Use or any agreement which is due to an event beyond the control of such Party including but not limited to any act of God, terrorism, war, political insurgence, insurrection, riot, civil unrest, act of civil or military authority, direction of governmental or regulatory authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of Our control, which causes the termination of this Terms of Use or any agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the Policies.

6. User responsibility for content

6.1 The User is responsible for ensuring that in their use of Katalyst, no action or omission occurs which is contrary to any law for the time being in force. Any breach by the User would render the User liable to termination of User Account, blocking of User access to Katalyst, and/ or any other action under any law for the time being in force. The User specifically undertakes not to host, display, upload, modify, publish, transmit, update or share any information that -

(i) belongs to another person and to which the user does not have any right to;

(ii) is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;

(iii) harms minors in any way;

(iv) infringes any patent, trademark, copyright or other proprietary rights;

(v) violates any law for the time being in force;

(vi) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

(vii) impersonate another person;

(viii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;

(ix) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.

7. Disclaimer Of Warranties

Services, including, without limitation, our IP rights, is provided on an “as is”, “as available” and “with all faults” basis. To the fullest extent permissible by law, neither the company nor, any of its employees, managers, officers or agents (collectively, the “Katalyst Parties”) make any representations or warranties or endorsements of any kind whatsoever, express or implied, as to: (a) Katalyst; (b) our IP rights; (c) user content; or (d) security associated with the transmission of information to the company or via Katalyst. In addition, the Katalyst Parties hereby disclaim all warranties, express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, non-infringement, title, custom, trade, quiet enjoyment, system integration and freedom from computer virus.

The Katalyst Parties do not represent or warrant that Katalyst will be error-free or uninterrupted; that defects will be corrected; or that Katalyst or the server that makes Katalyst available is free from any harmful components, including, without limitation, viruses. The Katalyst Parties do not make any representations or warranties that the information (including any instructions) on Katalyst is accurate, complete, or useful. You acknowledge that your use of Katalyst is at your sole risk. Katalyst Parties do not warrant that your use of Katalyst is lawful in any particular jurisdiction, and the Katalyst Parties specifically disclaim such warranties. Some jurisdictions limit or do not allow the disclaimer of implied or other warranties so the above disclaimer may not apply to you to the extent such jurisdiction's law is applicable to you and these terms of use.

By accessing or using Katalyst you represent and warrant that your activities are lawful in every jurisdiction where you access or use Katalyst.

Katalyst Parties do not endorse content and specifically disclaim any responsibility or liability to any person or entity for any loss, damage (whether actual, consequential, punitive or otherwise), injury, claim, liability or other cause of any kind or character based upon or resulting from any content.

9. Governing Law and Dispute Resolution

9.1 This agreement shall be governed by and construed in accordance with the laws of [●]. By visiting and registering on Katalyst, You agree to be bound by the applicable laws. Any dispute of any sort that might arise between You and the Company or its affiliates is subject to the exclusive jurisdiction of the courts at [●] only.

10. Grievances

10.1 If You wish to register a complaint regarding Katalyst, You may do so by contacting us. Your complaint will be acknowledged by a system generated response, or via an individual manual email to the extent possible, within 24 hours of Us having received it. You will be kept informed of the progress We make in redressing Your complaint and/ or the reasons for delay, if any, in such redressal.
